Corporate Team

The team regularly advises bidders, targets, sellers and financial advisers and its advice covers all types of public company M&A including schemes and takeovers as well as private treaty M&A including asset acquisitions and divestments, joint venture arrangements and restructures.

The firm is experienced and has an in-depth understanding of its clients and commitment to providing exceptional standards of service, which has seen the firm become a trusted adviser to local and global corporates, financial institutions and governments in all areas of commercial law.

Position Description

The role will have you involved in the drafting and reviewing of legal documents and agreements, including (by way of example) merger implementation agreements, pre-bid agreements, sale and purchase agreements, subscription agreements, and underwriting agreements, as well as disclosure documents such as bidder’s and target’s statements, scheme booklets and prospectuses.

You will have the opportunity to work on a range of transactions including M&A, Equity Capital Markets, Corporate Advisory and FIRB.

Key Requirements

The ideal candidate will have the appropriate level of post-qualification experience (5-8 years’ PQE in a City, major regional or leading international firm) and have broad exposure across a range of high value and/or complex transactions. More specifically:

· At least 5 years’ legal experience gained within a top-tier firm or by a combination of top-tier and in-house. Ideally Commonwealth trained.

· Excellent communication skills, both written and verbal

· Superior drafting ability

· A commercial approach and an ability to articulate and negotiate effectively
